Terms & Conditions of Service

1. Introduction & Provider Identification

These Terms and Conditions ("Terms") govern access to and use of the services, web interfaces, APIs, and software provided by Growth Marketing srl ("Velora", "we", or "us"), an engineering entity registered in the European Union (Italy). By configuring our gateway endpoints in coding agent environments (such as OpenCode, Claude Code, Cline, Cursor, or custom IDEs), or by subscribing to paid quotas, you agree to be bound by these Terms.

2. Nature of the Service: AI Optimization & Compression Gateway

Velora operates as an autonomous AI Context Compression & Optimization Gateway. Velora is not an LLM provider and does not train proprietary foundation models. The service intercepts outgoing context payloads from developer agents, performs lossless session cache alignment and structural token condensation (reducing transmitted context tokens by up to 89%), and forwards requests to designated upstream LLM endpoints.

Deployment Configurations:
• Cloud Gateway: High-performance routing via api.velora.ai/v1
• Dedicated VPC / On-Prem: Isolated containerized execution for enterprise teams

3. Bring Your Own Key (BYOK) & Direct Upstream Routing

Velora natively supports Bring Your Own Key (BYOK). Users can configure their direct API credentials for third-party providers (including Anthropic PBC, OpenAI Inc., Google LLC, DeepSeek, and others).

  • Direct Commercial Relationship: When using BYOK, billing and terms for raw inference remain strictly between you and your upstream provider.
  • Ephemeral Key Handling: In BYOK mode, API keys are transmitted ephemerally in encrypted headers and are never stored on persistent disks.
  • Sovereign End-to-End ZDR (velora-zdr): Where enterprise customers mandate hardware-level Zero Data Retention and EU data residency without reliance on US commercial APIs, Velora provides the velora-zdr virtual key. This profile routes exclusively to European GPU nodes hosted by Regolo AI with audited zero-disk persistence.
  • Compliance with Provider Terms: You agree to comply with all applicable Terms of Service and acceptable use policies of your chosen model providers.

Velora guarantees complete source fidelity on all client repositories:

Velora will NEVER inject tracking markers, hidden prompts, or third-party links into your source code, unit tests, or git commits. All compression operations preserve exact structural correctness and code semantics.

5. Intellectual Property & Customer Data Ownership

You retain sole and exclusive ownership of all software code, prompts, text, files, and artifacts submitted to or generated through the Velora gateway ("Customer Content").

Velora acquires no intellectual property rights over your code. We do not use Customer Content to train, fine-tune, or benchmark public or private artificial intelligence models.

6. Subscriptions, Billing & Fair Usage Policy

Velora offers both trial and enterprise subscription plans:

  • Free Trial Tier: Governed by a dual barrier of 14 days or 200k processed tokens per day (~5M provider equivalent), with access to designated Regolo EU models. Subject to rate limits (60 RPM) and OAuth verification. No credit card required.
  • Solo, Pro, Ultra & Team Tiers: Billed on recurring monthly or annual commitments. Quotas reflect measured tokens and tiered work multipliers. Refill top-ups are available for additional token volume.
  • Exact Token Accounting: Billed token metrics reflect actual post-compression tokens forwarded to upstream endpoints.

7. Compliance with the EU Artificial Intelligence Act (2026)

In compliance with EU Regulation 2024/1689 (AI Act Article 50), Velora operates as a technical intermediary and general-purpose optimization provider, offering full architectural transparency regarding its context compression and model routing logic.

8. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Italy and the European Union. Any disputes shall be submitted to the exclusive jurisdiction of the competent courts of Milan, Italy.
